Terms & Conditions for Members

Welcome to Egoista!
​
The following terms and conditions (these “Terms”), which may be supplemented by Egoista’s other policies as notified to you from time to time (the “Policies”) (which are incorporated herein), govern and apply to: (1) your use of the websites (including egoista.app), applications (including the Egoista mobile app), tools and/or platforms of Egoista Ltd (a limited company registered in England and Wales under company number 16249683 with registered office at 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ) (collectively, our “Platform”); and (2) all agreements between Egoista and its customers (“Members”, “you” or “your”). In these Terms, Egoista Ltd is referred to as “Egoista”, “we”, “us”, or “our”.

Please read these Terms and our Policies carefully before you start to use our Platform. By using our Platform and/or subscribing to a membership, you confirm that you accept these Terms and our Policies.

1. Our Service
​
1.1 Egoista provides our Platform to allow our Members to discover and access discounts and offers provided by our third-party business partners (“Partners”).
​
1.2 Egoista and our Platform acts strictly as an intermediary:
a) We are a discovery platform connecting our Members with our Partners.
b) We do not own, control, offer, provide or manage any of the services, products or treatments (collectively, “Treatments”) provided by our Partners.
c) The contract for the provision and sale of any Treatment is exclusively between you and the relevant Partner. We are not a party to that transaction, and we do not facilitate any bookings or reservations made with our Partners nor facilitate any payments made by you to our Partners.

1.3 We maintain other Policies that supplement these Terms, like our Privacy Policy, which describes our collection and use of personal data. We encourage you to read it to better understand how you can manage and delete your information.
2. Definitions

2.1 In addition to the other definitions stated elsewhere in these Terms, the following definitions apply throughout these Terms unless the contrary intention appears:
​
“Booking” means an appointment or reservation made by you directly with a Partner via the specified booking method(s) as shown on their profile. A Booking is not a purchase and Egoista does not facilitate Bookings or payments for Treatments.
​
“First Time Offers” mean those discount(s) or offer(s) provided by our Partners to Members who are booking with that Partner for the first time through, or in connection with, Egoista.
​
“Offers” mean the First Time Offers and the Returning Offers.
​
“Returning Offers” mean those discount(s) or offer(s) provided by our Partners to Members who have met the relevant requirements to unlock such additional discount(s) or offer(s) as specified on the relevant Partner’s profile.

2.2 Unless the context requires otherwise, words in the singular shall include the plural and words in the plural shall include the singular.

3. ​Member Account
3.1 In order to use Egoista’s services and our Platform, you must set up a Member account with Egoista (“Member Account”) and have an active membership. You may only have one Member Account. To create an account, you must have the legal capacity to enter into a binding contract in the jurisdiction where you reside. Minors and other natural persons with limited or no legal capacity are not permitted to set up a Member Account.

3.2 To set up a Member Account, you are required in particular to select a membership option and payment method (e.g. monthly / annually), to provide the information as required during the registration process (including your full legal name, e-mail address, payment method, postcode, valid payment details, user name and password), and to accept these Terms and our Policies.

3.3 By successfully completing the registration process on our Platform, a binding legal agreement between you and Egoista governed by these Terms will come into force.
​
4. ​Partner Offers
​
4.1 Our Partners have undertaken to grant Members certain Offers. You can view these Offers via our Platform.
​
4.2 On our Platform, you can see our Partners who are participating in Egoista and the Offers which are provided by our Partners. Offers may for example include: a percentage discount (e.g. 50% off), a flat fee discount (e.g. £10 off), an add on treatment (e.g. free add-on head massage) or a take-home product (e.g. free hair care product to use at home). Examples here are provided for illustrative purposes only.
4.3 Generally, our Partners offer 2 categories of Offers - First Time Offers and Returning Offers. First Time Offers are only redeemable on a Member’s first visit to a Partner through or in connection with Egoista. Returning Offers are redeemable once the relevant requirements to unlock such Returning Offers (as specified on the relevant Partner’s profile) are met (e.g. the minimum number of visits has been reached). Returning Offers can be redeemed by a Member every time the relevant requirements are met. For example (for illustrative purposes only), if a Partner offers a Returning Offer after 3 visits, you can redeem such Returning Offer after every 3rd visit to that Partner. Our Partners may offer more than one type of First Time Offers and more than one type of Returning Offers. Only one of such Offers can be redeemed and used by you at any one time.
4.4 Offers may be subject to certain conditions (e.g. minimum spend required, cash payment only) and/or exclusions (e.g. not applicable to packages). These conditions and/or exclusions will be displayed on our Platform. In order for you to redeem the Offers, you must comply and adhere with all stated conditions and/or exclusions. The use of any Offers may be rejected by our Partners if the conditions and/or exclusions are not met or adhered to.
4.5 Both the number of Partners and the Offers can change at any time. Egoista makes no commitment on the quantity, availability, or type of Partners and/or Offers available on our Platform.

5. ​How It Works
DISCOVERING OFFERS
5.1 You can view our Partners’ profiles on our Platform. Each of our Partner’s profiles will generally include information about their available Offers, and how to book with them in order to benefit from Egoista’s services (including the redemption of any Offers and the recordal of any of your visits with Egoista).
​
5.2 You are able to save an Offer to your saved list in your Member Account, however, saving an Offer does not constitute a booking with our Partner. In order to book a Treatment with the relevant Partner, you must book with them via the specified booking method(s) as shown on the Offer and/or the relevant Partner’s profile.

BOOKING YOUR FIRST VISIT
5.3 To make use of the relevant First Time Offer, you make a Booking for a Treatment directly with our Partner using the specified booking method(s) as shown on the Offer and comply with any instructions specified there. Any bookings made not using the specified booking method(s) will not be eligible for any Egoista services - meaning that you will not be able to redeem any Offers or validate that visit towards unlocking the Returning Offers.

ATTENDING YOUR FIRST VISIT
5.4 To redeem the relevant First Time Offer, you must inform the staff at the relevant Partner when you arrive.
5.5 The First Time Offer must be redeemed on our Platform before payment is made. To do this, you must click on “Scan to Redeem”, scan the relevant QR code presented by the staff, and confirm the redemption by swiping.

BOOKING AND ATTENDING SUBSEQUENT VISITS
5.6 For each subsequent visit to that Partner, to benefit from any Egoista services (e.g. validating that visit on Egoista and, where applicable, redeeming any Returning Offers), you must make a Booking for a Treatment directly with our Partner using the specified booking method(s) as shown on their profile and comply with any instructions specified there. Any bookings made not using the specified booking method(s) will not be eligible for any Egoista services - meaning that you will not be able to redeem any Returning Offers (where applicable) or validate that visit towards unlocking the Returning Offers.
5.7 Certain of our Partners may have certain conditions (e.g. minimum spend required, or that the return visit must be the same treatment as prior visits) and/or exclusions, including conditions and/or exclusions for a visit to count towards the number of visits for the purpose of unlocking any Returning Offers. These conditions and/or exclusions will be displayed on our Platform. You must comply and adhere with all stated conditions and/or exclusions. Our Partners may reject to validate any visit or apply any Offers (where applicable) if the conditions and/or exclusions are not met or adhered to.
5.8 To validate a visit (to count towards the number of visits for the purpose of unlocking any Returning Offers), you must inform the staff at the relevant Partner before payment is made. The staff will then validate your visit by showing a QR code that you will need to scan through our Platform.
5.9 If you are redeeming a Returning Offer on a particular visit, you must:
a) inform the staff at the relevant Partner when you arrive;
b) redeem the Returning Offer before payment is made, by clicking on “Scan to Redeem”, scan the relevant QR code presented by the staff, and confirm the redemption by swiping.
Validating a Visit and Use of Offers
5.10 You acknowledge and agree that it is at the sole discretion of our Partners to validate any visit you make and/or apply or honour any Offers. They may refuse to validate your visit and/or apply or honour any Offers including but not limited to where you failed to comply with any stated conditions (e.g. minimum spend was not met) or if you did not book in through the specified booking method(s).

5.11 You acknowledge and agree that only one visit may be validated, and, where relevant, only one Offer may be redeemed, per day for each Partner.

6. ​Members’ Obligations
6.1 You are obliged to provide true, complete and accurate information when creating your Member Account. You are also obliged to keep the data in your Member Account up to date and are responsible for its accuracy and completeness. You are obliged to inform Egoista immediately of any changes to your data.
6.2 Your Member Account is personal to you and you agree not to create more than one account. You cannot transfer or allow third parties to use your Member Account and redeem Offers, even if the third party is a Member themselves. The Member undertakes to change his/her password immediately if there is reason to believe that a third party may have gained knowledge of it. You are solely responsible for all activity that occurs under your account, including any activity by unauthorised users. You understand and agree that Egoista may take actions we deem reasonably necessary to prevent fraud and abuse.
6.3 To make use of Egoista’s services (including the redemption of Offers), you must download the Egoista app and install it on an internet-enabled mobile phone that meets the technical requirements of the Egoista app. You are responsible for providing mobile data communication and shall bear any data transmission costs incurred with your mobile phone provider. You are responsible for any software or hardware updates that are required for the continued use of the Egoista app.
7. ​Membership Plans, Fees and Cancellation
7.1 To enjoy full access to our Platform and redeem any Offers, you need to sign up for a membership and pay the relevant membership fees to Egoista. Membership fees are non-refundable.
7.2 By initiating your membership, you authorise us (and any third-party payment processor engaged by us) to charge you for your initial membership period and a recurring membership fee at the then current rate. Please note that even if you do not use the membership or access our Platform, you will be responsible for membership fees until you cancel your membership, or until it is otherwise terminated.

Billing Cycle
7.3 A membership starts on the date that you sign up for a membership and submit payment via our third-party payment processor (Stripe). If a free trial period has been agreed, the membership starts automatically at the end of the free trial period.
7.4 Your first membership fee will be billed immediately when you sign up, or, if a free trial period has been agreed, automatically at the end of the free trial period. Each billing cycle is either one month (for monthly memberships) or one year (for yearly membership) in length. Your membership automatically renews at the end of the relevant billing cycle, and we will automatically bill your membership fee, until your membership is cancelled or terminated.

Fee Changes
7.5 We reserve the right to adjust our membership fees at any time. Unless we expressly communicate otherwise, any price changes to your membership will take effect on your next billing cycle upon notice communicated by e-mail to the e-mail address stored in the Member Account, through any notifications on the Egoista app, or through such other means as we may deem appropriate from time to time. If you do not cancel your membership, you will be deemed to have accepted these new membership fees.

Payment Methods
7.6 You must provide us with a current, valid, accepted method of payment. You may edit your payment information through our third-party payment processor (Stripe). If a payment is not successfully settled, due to expiration, insufficient funds or otherwise, you nonetheless will remain responsible for any uncollected amounts and authorise us to continue billing the payment method you have provided, as it may be updated, including in the event you attempt to create a new account, reactivate the unsettled account or sign up for a new account. If we cannot charge your account, we reserve the right, but are not obligated, to terminate your access to our Platform or any portion thereof. If a payment fails for lack of funds or for other reasons for which you are responsible, you shall bear all additional costs incurred.

Cancellation of Membership
7.7 Unless we communicate otherwise, and in addition to your right to cancel within 14 days of initial purchase as set out below, you may terminate your membership at any time before your membership renews, by going into your account settings on our Platform and letting us know you would like to cancel. Unless we communicate otherwise, following any cancellation you will continue to have access to your membership through the end of your current prepaid billing cycle.

RIGHT TO CANCEL WITHIN 14 DAYS OF INITIAL PURCHASE
7.8 As per the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you are entitled to cancel your membership and receive a full refund of any fees paid within 14 days of your initial sign-up without giving any reason. If you select to commence your membership immediately, or you ask us to start your membership early, you agree that if you subsequently cancel your membership within the 14 day period, you will be refunded any monies paid, less an amount for the membership you have already used commencing from the first day from joining.

8. Promotions
8.1 Trials. From time to time, we may offer a trial membership that includes access to our Platform during the free trial period. Unless otherwise communicated, a trial begins at the moment of sign up (even if you choose not to redeem any Offers until a later date) and ends exactly seven (7) days from that time. For example, if you start your trial at 3:00pm on a Monday, your trial will end at 3:00pm on the following Monday. Each trial membership automatically will convert to the membership plan chosen by you at the start of the trial unless canceled before the end of your trial. If you cancel the membership, you will not be able to redeem or benefit from any Offers (even if a booking has been made during the trial period) once your trial membership ends. Unless we expressly communicate otherwise, trail memberships are not transferable, may not be combined with other offers or redeemed for cash and are void where prohibited. You understand and agree that unless we expressly communicate otherwise, trial memberships are available only to new users that have never had a Member Account with Egoista before and it is a violation of these Terms to sign up for a trial if you have signed up for an account or trial in the past or to have more than one account or trial at the same time. Egoista reserves the right, in its absolute discretion, to determine your eligibility for a trial membership. If in our discretion we believe you are not eligible for a trial membership, we reserve the right to prevent you from signing up for a trial or to terminate your membership. If we terminate your trial or membership because you have violated these Terms, you understand that you will not be eligible for a refund.
8.2 Refer a Friend. From time to time we may make available certain incentives for Members to refer friends to use Egoista. The current terms that apply to referrals can be found here.
8.3 Other Promotions. Egoista may offer additional types of offers and promotions which will be subject to additional terms and conditions that Egoista may provide from time to time.

9. ​Our Partners’ Obligations
9.1 Our Partners, not Egoista, are solely responsible for applying or providing the Offers and all aspects of the Treatments you receive. By using our Platform, you acknowledge that our Partners (not Egoista) are solely responsible for:
a) honouring, accepting, and applying all Offers listed on their profile;
b) the quality, safety, legality, and delivery of all of their Treatments;
c) complying with all applicable laws, rules, regulations, licenses, and permits necessary to provide the Treatments and conduct their business; and
d) the accuracy of the information on their profile (including, but not limited to, their opening times, policies, treatment menu and prices, and any other descriptions or information provided on their profile).
10. ​User-Generated Reviews and Feedback
10.1 You may be able to post reviews and ratings of your experiences (“Reviews”). Reviews can be viewed publicly on our Platform. You are obliged to comply with the statutory provisions when posting Reviews and, in particular, to provide only truthful and factual information. In particular, you are obliged to:
a) not impersonate another person and not misrepresent your own identity;
b) not to harass or threaten any other party;
c) not to engage in defamatory criticism and not to spread slander, insults, lies or false information;
d) not to post any inaccurate or unobjective reviews or ratings;
e) not to submit any Reviews about yourself, your company or your employer or have them submitted by third parties;
f) not to make any use of the reviews and ratings system that is contrary to its purpose.

10.2 Every Member is solely responsible for the accuracy and legality of his or her reviews and ratings published on our Platform. Egoista does not endorse and is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to any reviews and ratings published by our Members. You understand and acknowledge that you may be exposed to Reviews that are inaccurate, offensive, indecent, or objectionable. You acknowledge and agree, to the fullest extent permitted by applicable law, that Egoista does not have any liability to you in respect of any such Reviews.
10.3 Egoista does not check ratings and comments for accuracy, truthfulness or legality. Egoista may, but is not obliged to, check whether the Reviews comply with any applicable laws and regulations and these Terms and, if necessary, to amend or delete them. Improper use of the reviews and ratings system is not permitted. Egoista is not responsible for the use or disclosure of any information that you disclose in connection with Reviews, including any personal information.

10.4 Egoista reserves the right to delete or not to display any Reviews at any time without giving reasons.
10.5 By posting Reviews, you grant Egoista a worldwide, non-exclusive, fully paid-up, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce (including by making mechanical reproductions), distribute, modify, adapt, translate, prepare derivative works of, publicly display, publish, publicly perform, and otherwise exploit your Reviews and derivatives thereof in connection with our Platform and Egoista’s (and its successors’) business for any purpose, including, without limitation, for marketing and promoting our Platform, in any media formats and through any media channels now known or hereafter discovered or developed. Egoista is authorised to use the Reviews even after the termination of membership. You may request us to delete your Reviews at any time.
10.6 If you provide Egoista with any comments, bug reports, feedback, or modifications proposed or suggested by you to our Platform (“Feedback”), Egoista shall have the right to use such Feedback at its discretion, including, but not limited to the incorporation of such suggested changes into our Platform. You hereby grant Egoista a perpetual, irrevocable, non-exclusive license under all rights necessary to incorporate and use your Feedback for any purpose without notice to, consent by or compensation to you or any third party.

11. Member’s Conduct
11.1 Without limiting the prohibitions and restrictions found elsewhere throughout the Terms, you agree not to:
a) harass, threaten, stalk, disrupt or defraud users, members or staff of Egoista or our Partners or any other person, or otherwise create or contribute to an unsafe, harassing, threatening or disruptive environment;
b) act in a deceptive or fraudulent manner by, among other things, impersonating another person or access another Member’s account without that Member’s permission;
c) share your Member Account password with any third party or encourage any other user to do so;
d) permit anyone to use your membership, including other Members;
e) reproduce, modify, prepare derivative works based upon, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast, use for commercial purposes or otherwise exploit any portion of our Platform;
f) misrepresent the source, identity, or content of information transmitted via our Platform, including deleting the copyright or other proprietary rights or notices from any portion of our Platform;
g) upload material (e.g. virus) that is damaging to computer systems or data of Egoista or users of our Platform or otherwise use our Platform in any manner that could damage, disable, overburden, or impair it or interfere with any other party’s use and enjoyment of our Platform;
h) upload copyrighted material that is not your own or that you do not have the legal right to distribute, display, and otherwise make available to others;
i) upload onto, or send to other users of, our Platform pornographic, threatening, embarrassing, hateful, racially or ethnically insulting, libelous, or otherwise inappropriate content;
j) decompile, reverse engineer or disassemble our Platform, in whole or in part, except as may be permitted by applicable law;
k) link to, mirror or frame any portion of our Platform;
l) cause or launch any program or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any portion of our Platform or unduly burdening or hindering the operation and/or functionality of any aspect of our Platform;
m) attempt to gain unauthorised access to or impair any aspect of our Platform or its related systems or networks or interfere or attempt to interfere with the proper working of our Platform or any activities conducted on our Platform;
n) make unsolicited offers, advertisements, proposals, or send junk mail or “spam” to other Members or our Partners;
o) remove, circumvent, disable, damage or otherwise interfere with security-related features of our Platform, any features that prevent or restrict use or copying of any content accessible through our Platform, or any features that enforce limitations on the use of our Platform or the content therein;
p) obtain or attempt to obtain any materials or information through any means not intentionally made available through our Platform;
q) modify our Platform in any manner or form, nor to use modified versions of our Platform, including (without limitation) for the purpose of obtaining unauthorised access to our Platform;
r) use any robot, spider, scraper, or other automated means to access our Platform for any purpose without our express written permission or bypass our robot exclusion headers or other measures we may use to prevent or restrict access to our Platform;
s) use our Platform for or in connection with any purpose that is unlawful or prohibited by these Terms.
11.2 Egoista reserves the right to terminate accounts, suspend memberships, or remove or edit any content, in its sole discretion.

12. ​Intellectual Property and Third Party Links
12.1 Except for your Reviews, our Platform and all content, material and software therein are owned and operated by us or third-party licensors, whether registered or unregistered, and may not be used in connection with any product or service or in any manner that is likely to cause confusion as to our endorsement, affiliation or sponsorship of any person, product or service. All trademarks, service marks, and trade names used by us on our Platform are proprietary to Egoista and/or third-party licensors. Except as expressly authorised by Egoista, you agree not to sell, license, distribute, copy, modify, publicly perform or display, transmit, publish, edit, adapt, create derivative works from, or otherwise make unauthorised use of the contents and materials on our Platform and may only access such content and materials for your personal, non-commercial use. All rights not expressly granted in this Agreement are reserved.

12.2 Our Platform may include links to other websites solely as a convenience. Egoista does not endorse any such websites or the information, material, products, or services contained on other websites. Furthermore, Egoista makes no express or implied warranties with regard to the information, material, products, or services that are contained on or accessible through other websites. Access and use of other websites, including the information, material, products and services on other websites or available through other websites, is solely at your own risk.

13. ​Termination or Modification by Egoista
13.1 You agree that Egoista, in its sole discretion (including, but not limited to, as a result of a breach of these Terms or a decision to cease providing services), may at any time (i) terminate, cancel, deactivate, disable, delete and/or suspend your Member Account and membership and your access to or use of our Platform, and remove and discard all or any part of your Member Account or any content uploaded by you to our Platform; and/or (2) discontinue, disable, suspend, modify or alter any aspect, feature or policy of our Platform, including of your membership. Egoista may also in its sole discretion and at any time discontinue providing access to our Platform, or any part thereof, with or without notice. You agree that any termination of your access to our Platform or any account you may have or portion thereof may be effected without prior notice. This includes the right to terminate or modify any membership prior to the end of any pre-paid or committed period. Upon any termination or otherwise, we may immediately deactivate your Member Account and all related information and/or bar any further access to your Member Account and our Platform. Egoista shall have no liability for, and you shall have no recourse for, any such termination or deactivation, except as set forth in the following sentence. If you are an existing Member, then upon any such termination by us without cause, as your sole recourse, we will issue you a pro rata refund of the prepaid portion of your membership based on the time remaining in your billing cycle. If we determine that you have violated these Terms or otherwise engaged in illegal or improper use of your membership and/or our Platform, you will not be entitled to any refund and you agree that we will not be responsible to pay any such refund. You agree that Egoista will not be liable to you or any third party for any such termination. You acknowledge that your only right with respect to any dissatisfaction with any modification or discontinuation of service made by us is to cancel or terminate your membership.
13.2 The availability of all or part of our Platform may be limited based on demographic, age, or other criteria as we may establish from time to time. You understand and agree we may disallow you from joining Egoista or may terminate your membership at any time based on these criteria. You further understand that our Platform may not be available in every geography.

14. ​Disclaimers, Limitation of Liability, Indemnity
Please read this section carefully as it limits our liability to you.
​
14.1 All Treatments are provided by third parties (and the descriptions of such Treatments posted on our Platform are provided by the relevant third parties), not Egoista. Egoista is not responsible for the Treatments provided by a Partner, and is not a party to any agreement between a Member and a Partner. The Partners are not representatives or agents of Egoista, and Egoista is not connected to, and is not a representative or agent of, any of the Partners. You agree that your use of our Platform and purchase and/or receipt of any Treatment is solely at your own risk. We do not assume any liability or make any warranties of any kind, express or implied, arising out of, in connection with or with respect to our Partners or their Treatments.

14.2 In no event shall Egoista be liable for any injury, loss, claim, damage or any special, exemplary, punitive, incidental or consequential damages of any kind, whether based in contract, tort or otherwise, which arises out of or is any way connected with a Member’s purchase, use or receipt of any Treatment or other products and services offered by a Partner, or the performance or non-performance of any third party. Without limiting anything herein, Egoista disclaims all warranties, whether statutory, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose, related to any Treatments or other products and services offered by the Partners on our Platform.
14.3 Egoista accepts no liability for any disputes, claims, liabilities, damages, losses, or injuries arising from your interaction with a Partner or your purchase or receipt of any Treatment. This includes, but is not limited to, issues related to the quality of a service, the failure to honour an Offer, or compliance with health and safety standards.
14.4 Any dispute you have regarding a Treatment, a payment to a Partner, or the redemption of an Offer must be resolved directly with the relevant Partner. You agree to release Egoista from any and all claims arising out of such disputes.
14.5 Our Platform is made available to you on an “as is” and “as available” basis. We disclaim all warranties, express or implied, including any implied warranties of non-infringement, merchantability and fitness for a particular purpose unless you’re located in an area that by law provides you a specific right contrary to this disclaimer or does not permit us to exclude a warranty. We may make changes to our Platform and the services we provide you at any time.
14.6 Without limiting anything herein, Egoista does not warrant or make any representations (i) that our Platform or any Treatments is suitable for you or will meet your personal needs, (ii) regarding the adequacy or safety of any Treatments, Partners or recommendation, (iii) that our Platform, any Treatments, or any aspect thereof, will be available or permitted in your jurisdiction, (iv) that our Platform, or any aspect thereof will be uninterrupted or error-free, that defects will be corrected, or that our Platform and any downloadable software, content, services, or applications made available in conjunction with or through our Platform or the server that makes them available are free of viruses or other harmful components, or (v) regarding the use of our Platform and any downloadable software, content, services, or applications made available in conjunction with or through our Platform in terms of correctness, accuracy, reliability, or otherwise. You understand and agree that any material or data that you download or otherwise obtain through the use of our Platform is at your own discretion and risk and that you will be solely responsible for any injury, loss or damages, including damage to your phone, computer system or loss of data that results from the download of such material or data.
14.7 Except as otherwise expressly provided in these Terms, Egoista makes no representations or warranties, express or implied, in connection with the subject matter of our agreement and disclaims all implied warranties, including all implied warranties of merchantability or fitness for a particular purpose regarding such subject matter.
​14.8 To the fullest extent allowed by applicable law, Egoista will not be responsible for any special, indirect, incidental, consequential, punitive or exemplary damages, loss of profits, revenues, sales or business, business opportunities, goodwill or anticipated savings, arising from or related to the use of our Platform or any other interactions with Egoista, even if Egoista (or an authorised representative) has been advised of the possibility of such damages. Without limiting anything herein, Egoista’s total liability arising out of or relating to these Terms or your use of our Platform is limited to the greater of (a) the total membership fees you paid to Egoista in the last (12) months or (b) £100.
14.9 Nothing in these terms limits any liability of any party which can’t legally be limited, including but not limited to liability for death or personal injury, fraud, fraudulent misrepresentation, gross negligence or wilful misconduct. It is acknowledged however, that we accept no liability for the negligence of third parties, including any of our Partners where you receive any Treatments.
​14.10 You will indemnify Egoista and its directors, officers, employees and contractors for any costs and liabilities arising out of or relating to your unlawful use of our Platform and/or your violation of these Terms. This includes any liability or expense arising from claims, losses, damages, judgments, fines, litigation costs and legal fees.
15. ​Waiver
15.1 You understand that Egoista is not a salon, studio, beauty or wellness provider or similar establishment and the Treatments shown on our Platform are offered and delivered by our third party business partners and not by Egoista. Egoista is not responsible for the quality of any Treatments provided by the Partners or any other third party. You are solely responsible for determining whether the Treatments and recommendations on our Platform are right for you.
15.2 You understand that there are certain inherent risks and dangers in receiving Treatments. By using Egoista (including but not limited to receiving any Treatments), you acknowledge and agree, on behalf of yourself, your heirs, personal representatives and/or assigns that you are aware of these risks which include, but are not limited to, property damage, illness, loss and bodily injury or death. You acknowledge that some of these risks cannot be eliminated and you specifically assume the risk of injury or harm.

15.3 You also understand and agree that our Platform offers beauty and wellness and related information that is designed for informational, educational and entertainment purposes only. Nothing stated or posted on or otherwise available through any aspect of our Platform is intended to be, and must not be taken to be, the practice of medical, professional or counseling care. You should not rely on any information on or through our Platform as a substitute for, nor does it replace, professional medical advice, diagnosis, or treatment. Do not ever disregard, avoid or delay obtaining medical or health related advice from your health-care professional because of something you may have read or heard on our Platform and/or through or during a Treatment. The use of any of the content, recommendations and information provided on or through our Platform, or otherwise in connection with Egoista, is solely at your own risk.

16. ​Additional Terms of Partners
16.1 Our Partners may have their own policies and/or terms and conditions with respect to their Treatments, and your visit to our Partner and/or receipt of any Treatment may be subject to such additional policies, terms and conditions. You understand and agree that you may not be permitted to book, purchase or receive any Treatments or other products and services from our Partners if you do not comply with their policies and/or terms and conditions. If you have any questions about our Partners’ policies and/or terms and conditions, please contact the relevant Partner directly.

17. ​Miscellaneous
​17.1 Changes to these Terms. We can make changes to these Terms from time to time. We’ll provide you with prior notice before any change we make takes effect in accordance with applicable laws and regulations. We’ll try to let you know of material changes beforehand if we can - unless we need to make those changes immediately for reasons outside our control, like a change in law. The new Terms will not apply retrospectively to your use of our Platform before the Terms changed, but the new Terms will immediately apply to you if you use our Platform after the new Terms are posted on our Platform. If you do not terminate your use of our Platform before the date the revised Terms become effective, your continued access to or use of our Platform (including continuing your membership with us) will constitute acceptance of the revised Terms. The effective date of the current version of the Terms is written at the top of each version of the Terms.
​17.2 Assignment. You may not assign these Terms or transfer or delegate your rights and obligations without our prior written consent. We may without restriction assign, transfer or delegate our agreement and any rights and obligations hereunder, at our sole discretion.
​17.3 Applicable law. This agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of England and Wales.
​17.4 Dispute Resolution. We are committed to working with you to resolve any disputes that may arise. If you have a concern, please contact us first at support@egoista.app so that we can try to resolve your concern. If we are unable to resolve the dispute, you and we agree that the courts of England and Wales will have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms and our Policies and/or your use of our Platform, although we retain the right to bring proceedings against you for breach of these Terms and/or our Policies in your country of residence or any other relevant country. If you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are a resident of Scotland, you may also bring proceedings in Scotland. You agree that any dispute must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding, and you hereby waive any related rights, in each case unless prohibited by law.
17.5 Notice. If you have any questions about these Terms, you can contact our membership support team by emailing support@egoista.app. Unless we say otherwise in these Terms, any notices we send to you will be sent to the e-mail address stored in the Member Account.
17.6 Waiving our Rights. A waiver of any right or remedy is only effective if given in writing and shall not be deemed a waiver of any subsequent right or remedy. A delay or failure to exercise, or the single or partial exercise of, any right or remedy shall not waive that or any other right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy.
​17.7 Severability. If any provision (or part of any provision) of these Terms is or becomes invalid, illegal or unenforceable, it shall be deemed deleted, and the parties shall replace the invalid, illegal or unenforceable provision (or the relevant part of such provision) with provisions that are valid and binding and that have as similar an effect as the invalid, illegal or unenforceable provision as possible. The parties shall remain bound by all other provisions in these Terms.
17.8 Third Party Rights. Our agreement does not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of our agreement.
